1. Bills Campaign Details

   1. The Campaign is operated by OE Services Limited.

   2. The Program is a mechanism that issues points that measure a participant’s engagement and interaction with the OpenEden ecosystem (“Bills”).

2. Modification of Bills Campaign

   1. The Company reserves the right to determine, in its sole discretion the eligibility, distribution and attribution of Bills to participants and ecosystem interactions.

   2. The Company reserves the right to modify, revoke, alter, change the calculation and/or valuation of Bills, including imposing caps on the accumulation or redemption of Bills, at any time and for any reason without notice, particularly where there is improper use or abuse of the Campaign or Bills, or it detects unauthorised access to the Program.

3. No Monetary Value

   1. The Bills points have no cash value and are not redeemable or transferable. The sale, barter, listing or disposal of Bills by other parties other than the Company is expressly prohibited.

4. No Warranties or Guarantee

   1. As experimental initiatives, the Campaign and the “Bills” points are provided “as is” and “as available” and provided without warranties of any kind.

   2. The Company provides no guarantee on the availability of Bills for any particular interaction or participation activities.

   3. Any decision to award Bills points according to any scheme of the Campaign is arbitrary and may be increased/decreased or withdrawn by the Company without notice and restrictions may be imposed at any time.

   4. Any interactions with platforms, services, products (third-party or otherwise) by yourself in relation to the Bills Campaign shall be at your own risk The Company shall not be liable for any direct or indirect losses of any kind arising from your participation in the Bills Campaign.

5. Termination of Bills Campaign

   1. The Company may terminate or suspend the Bills Campaign and/or your rights to participate in the Campaign at any time in its sole discretion, including where the Company has determined that you have breached and/or violated the terms of this TOU.

   2. Sections of the TOU which by their nature should survive, including without limitation, any disclaimers or warranty or limitations on liability, shall survive the termination of the Bills Campaign and/or your participation in it.

6. Governing Law

   1. Where any action arises out of these TOUs or the Program, such action shall be litigated in, and only in the courts of the Company’s jurisdiction, and you agree to submit to the exclusive jurisdiction of those courts.

RESTRICTED TERRITORIES/PERSONS NOTICE

The Company does not provide services or products in jurisdictions where the provision of such requires a license, or where such access is prohibited by law is expressly prohibited. The Company reserves the right to restrict access to the Campaign or the “Bills” points to such persons due to jurisdictional concerns, applicable laws and regulatory requirements, and its own commercial considerations at its sole discretion.

Additionally, the Campaign is not available to persons or entities who reside in, are citizens of, are located in, are incorporated in, or have a registered office in the United States of America (collectively, “US Persons”) or any other Restricted Territory as may be published by the Company from time to time, and persons from such jurisdictions and/or territories (“Restricted Persons”) are non-eligible to participate in the Campaign.

The use of a Virtual Private Network (“VPN”) or other similar means to obfuscate your jurisdiction for bypassing any Restricted Person requirement is prohibited and the Company shall not be liable for any losses or damages resulting from any disruptions or loss of access to the Campaign or related services due to any restrictions imposed if you are found to be in breach of the foregoing notice.

By viewing this website, you (a “participant or “your”) acknowledge and agree that:

1. Your participation in the “Bills” reward program (“Campaign”) is of your own accord and entirely voluntary;

2. Your use of and participation in the same will be at your own risk;

3. Your participation in the Campaign will be governed by these TOU;

4. The TOU shall include any supporting or ancillary documents or terms expressly incorporated in these TOUs by reference, inclusive of any other terms and conditions, use, service or other applicable documents posted publicly or made available by us to participants of the Campaign.

5. This TOU sets out expressly your rights and obligations, the Company’s disclaimers and limitations on legal liability relating to your participation in the Campaign.

6. Your participation in the Campaign, use of, and access to, OE Services Limited (“Company, “we”, “our”, “us”) websites, mobile applications, associated sites, interfaces linked thereto as well as application programming interfaces (“APIs”) may contain references to or be directly provided by third parties and that the Company is not responsible for, nor does it provide any advice, recommendations or endorsements of these third-parties, their services, products and/or materials that you may access.

By participating in the Program, you agree to be bound by the TOU. If you do not agree, you should not participate in the Program and/or cease using the Bills Campaign immediately.
